In this CIMA on demand course, we review the basic functions of an investment bank and Mergers and Acquisitions or M&A practitioners within an Investment Banking Division (IBD).

This course will be of interest to amongst others: those planning careers in investment banks, M&A and corporate finance; those who work with investment bankers such as CFOs, finance directors, human resources, compliance, information technology; financial recruitment professionals; those who sell products and services to investment banks and corporate financiers.

Learning Outcomes:
On completion of this course you will:

  • Have an understanding of the different parts of the investment bank or Investment Banking Division (IBD) and how they work together
  • Be able to distinguish between mergers and takeovers, Mergers & Acquisitions or M&A
  • Be able to discuss different types of acquisition strategy – vertical vs. horizontal takeovers, market extension etc.
  • Understand key terms like Beauty Parade
  • Understand in principle how M&A Valuation works – the basics of valuation of synergies using Enterprise Value (EV) to EBITDA multiples
  • Understand the role of the UK Takeover Panel and the timetable it sets on M&A transactions for public companies
  • Understand the role of the Competition Commission and the OFT
  • Be able to distinguish between a Mandatory Offer and a Scheme of Arrangement
  • Know some of the key bid tactics such as a White Knight defence
  • See a practical application of this knowledge using the example of the merger of Reuters PLC with Thomson to form Thomson Reuters
  • Understand a ‘day in the life’ of an analyst, and a managing director
  • Be able to describe the changes in the major players in investment banking post the bankruptcy of Lehman Brothers in 2008
  • Know the role of a fairness opinion

This course does not offer CPE credit but does count as CPD for CIMA members.
